Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE BANK AND ITS AFFILIATES, AND THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SERVICE PROVIDERS, AND LICENSORS, WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOSS OF BUSINESS, LOSS OF GOODWILL, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO YOUR ACCESS TO, USE OF, OR INABILITY TO USE THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF THE BANK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE BANK’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE WILL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES, IF ANY, YOU PAID DIRECTLY TO THE BANK SPECIFICALLY FOR ACCESS TO OR USE OF THE SITE DURING THE TWO [2] MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) $500.00.

THE EXCLUSIONS AND LIMITATIONS IN THIS SECTION DO NOT APPLY TO THE EXTENT LIABILITY ARISES FROM:

    1. THE BANK’S GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR FRAUD;
    2. THE BANK’S VIOLATION OF A NON-WAIVABLE OBLIGATION UNDER APPLICABLE LAW;
    3. THE BANK’S OBLIGATIONS UNDER AN APPLICABLE ACCOUNT, PRODUCT, SERVICE, LOAN, CARD, FUNDS-TRANSFER, TREASURY MANAGEMENT, PRIVACY, OR ELECTRONIC BANKING AGREEMENT;
    4. ANY UNAUTHORIZED ELECTRONIC FUND TRANSFER, BILLING ERROR, CREDIT TRANSACTION, FUNDS TRANSFER, ACCOUNT ACCESS ISSUE, PRIVACY MATTER, DATA SECURITY INCIDENT, OR OTHER MATTER FOR WHICH APPLICABLE LAW OR AN APPLICABLE AGREEMENT PROVIDES NON-WAIVABLE RIGHTS, PROCEDURES, DUTIES, OR REMEDIES; OR
    5. ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

NOTHING IN THESE TERMS LIMITS YOUR RIGHT TO SUBMIT NOTICES OF ERRORS, UNAUTHORIZED TRANSACTIONS, DISPUTES, COMPLAINTS, STOP-PAYMENT REQUESTS, REVOCATION REQUESTS, PRIVACY REQUESTS, OR OTHER REQUESTS OR CLAIMS UNDER APPLICABLE LAW OR UNDER THE AGREEMENT GOVERNING THE RELEVANT BANK ACCOUNT, PRODUCT, OR SERVICE. ANY SUCH MATTER WILL BE HANDLED IN ACCORDANCE WITH THE APPLICABLE AGREEMENT, DISCLOSURE, AND LAW.

THE LIMITATIONS IN THIS SECTION ARE AN ESSENTIAL PART OF THESE TERMS AND APPLY TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, REGARDLESS OF WHETHER ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify and hold harmless the Bank, its affiliates, and their respective officers, directors, employees, agents, service providers, licensors, successors, and assigns, collectively, the “Indemnified Parties,” from and against reasonable and documented losses, liabilities, damages, judgments, settlements, penalties, fines, costs, and expenses, including reasonable attorneys’ fees and court costs, incurred by an Indemnified Party in connection with any third-party claim, demand, action, suit, proceeding, or investigation arising out of or relating to:

    1. your material breach of these Terms;
    2. your violation of applicable law in connection with your access to or use of the Site;
    3. content, information, materials, files, data, or communications that you submit, upload, transmit, or otherwise provide through the Site, including any allegation that such content or materials infringe, misappropriate, or otherwise violate any intellectual property, privacy, publicity, confidentiality, contractual, or other legal right of any person or entity; or
    4. your fraud, willful misconduct, negligence, or misuse of the Site,
      in each case only to the extent caused by your acts or omissions.

You will not be required to indemnify any Indemnified Party to the extent the applicable claim, loss, liability, damage, cost, or expense is caused by the Indemnified Party’s negligence, willful misconduct, violation of applicable law, breach of these Terms, or failure to comply with any non-waivable legal obligation. Nothing in this Section limits any rights or obligations that cannot be waived or shifted under applicable law, including non-waivable consumer financial protection, privacy, data-security, electronic funds transfer, error-resolution, or account-access rights and obligations.

The Bank will provide you with reasonable notice of any claim for which it seeks indemnification under this Section. Any delay in providing notice will relieve you of your indemnification obligations only to the extent the delay materially prejudices your ability to respond to the claim.

The Bank may, at its option, participate in or control the handling, response, settlement, or resolution of any claim subject to indemnification under this Section, using counsel of its choosing. You agree to reimburse the Indemnified Parties for indemnifiable amounts under this Section as they are finally determined, agreed, or otherwise incurred, but this Section does not require you to assume or conduct the defense of any claim.

You agree to cooperate reasonably with the Bank in connection with any claim subject to indemnification under this Section, including by providing relevant information, preserving relevant records, and taking reasonable steps to mitigate losses, costs, and expenses.

You may not settle, compromise, or otherwise resolve any claim subject to indemnification under this Section in a manner that imposes any liability, admission, obligation, restriction, or non-monetary relief on any Indemnified Party without the Bank’s prior written consent. The Bank will not unreasonably withhold, condition, or delay consent to a settlement that requires only a monetary payment by you and includes a full release of the Indemnified Parties from the settled claim.

Your obligations under this Section survive termination of these Terms and your use of the Site, but only with respect to events occurring before termination or arising from your prior use of the Site.

Retention of Personal Information

Personal information is retained only as long as necessary for legal, regulatory, operational, security, and business purposes, and then such personal information will be securely deleted, anonymized, or disposed.

You may request deletion of your personal information by contacting us as described in our Privacy Notice. However, because the Bank is a financial institution, we may be required to retain, and may continue to use, certain personal information for periods established by applicable federal and state banking laws, regulations, and record-retention and recordkeeping requirements, notwithstanding a request for deletion.

Governing Law

The laws of the United States and the State of New Hampshire will govern the content and use of this Site, without giving effect to conflict of law principles.

The Bank controls this Site from its offices within the United States. We make no representation that the content on our Site is appropriate, legal or available for use in other locations. Those who choose to access the Site from other locations do so at their own initiative and are responsible for compliance with applicable local laws. By registering for or entering this Site, you consent and submit to the exclusive jurisdiction and venue of the state and federal courts located in the State of New Hampshire.
